Terms of Service

These Terms of Service ("Terms") govern your use of the website and digital marketing services provided by StatesPay Technologies LLC ("we," "our," or "us"). By accessing our website or using our services, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing and using our website or services, you accept and agree to be bound by the terms and provision of this agreement. If you do not agree to abide by the above, please do not use this service.

2. Description of Services

StatesPay Technologies LLC provides digital marketing services including but not limited to:

  • Social Media Marketing
  • Content Marketing

  • Marketing Analytics and Reporting
  • Marketing Automation
  • Digital Marketing Consulting

3. Service Agreements

3.1 Service Proposals

All services begin with a detailed proposal outlining scope, deliverables, timelines, and pricing. Services commence only upon signed agreement and initial payment.

3.2 Service Modifications

Changes to agreed services must be documented in writing and may result in adjusted pricing and timelines. We reserve the right to modify our service offerings with reasonable notice.

3.3 Client Responsibilities

Clients are responsible for:

  • Providing accurate and complete information
  • Timely approval of campaigns and content
  • Providing necessary access to accounts and platforms
  • Compliance with platform policies and regulations
  • Payment of fees according to agreed terms

4. Payment Terms

4.1 Fees and Billing

Service fees are outlined in individual service agreements. Payment terms are typically net 30 days unless otherwise specified. Late payments may incur additional charges.

4.2 Advertising Spend

Client advertising budgets are separate from our service fees. Clients are responsible for all advertising costs on platforms such as Google Ads, Facebook Ads, etc.

4.3 Refunds

Service fees are generally non-refundable once work has commenced. Refund requests will be considered on a case-by-case basis.

5. Intellectual Property

5.1 Client Content

Clients retain ownership of their original content, trademarks, and intellectual property. Clients grant us license to use their materials for providing agreed services.

5.2 Our Work Product

We retain ownership of our methodologies, processes, and tools. Campaign strategies, ad copy, and creative materials developed for clients become client property upon full payment.

5.3 Third-Party Materials

We may use third-party tools, platforms, and resources in providing services. Clients are responsible for compliance with third-party terms of service.

6. Confidentiality

We maintain strict confidentiality regarding client information, strategies, and performance data. We will not disclose confidential information without written consent, except as required by law.

7. Performance and Results

7.1 No Guarantees

While we strive for optimal results, we cannot guarantee specific outcomes, rankings, or performance metrics. Digital marketing results depend on various factors beyond our control.

7.2 Reporting

We provide regular reporting on campaign performance and key metrics as outlined in service agreements.

7.3 Platform Dependencies

Our services rely on third-party platforms (Google, Facebook, etc.) whose policies and algorithms may change, potentially affecting campaign performance.

8. Limitation of Liability

To the maximum extent permitted by law, StatesPay Technologies LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

9. Indemnification

Clients agree to indemnify and hold harmless StatesPay Technologies LLC from any claims, damages, or expenses arising from:

  • Client's breach of these terms
  • Client's violation of third-party rights
  • Client's non-compliance with applicable laws or platform policies
  • Content provided by client

10. Termination

10.1 Termination by Either Party

Either party may terminate services with 30 days written notice. Immediate termination may occur for breach of terms or non-payment.

10.2 Effect of Termination

Upon termination:

  • Client remains responsible for all fees incurred
  • We will provide final reporting and account access
  • Confidentiality obligations continue
  • Client retains ownership of paid work product

11. Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, government actions, or platform outages.

12. Privacy and Data Protection

Our collection and use of personal information is governed by our Privacy Policy. We comply with applicable data protection laws and maintain appropriate security measures.

13. Compliance and Ethics

We adhere to industry best practices and ethical marketing standards. We will not engage in:

  • Fraudulent or deceptive practices
  • Spam or unsolicited communications
  • Violation of platform terms of service
  • Illegal or unethical marketing activities

14. Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles.

14.2 Dispute Resolution Process

Any disputes shall first be addressed through good faith negotiations. If unresolved, disputes may be subject to binding arbitration in Delaware.

15. Modifications to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on our website with an updated effective date. Continued use of our services constitutes acceptance of modified terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms, together with our Privacy Policy and any signed service agreements, constitute the entire agreement between you and StatesPay Technologies LLC.
